এই শর্তাবলী (“শর্তাবলী”) নির্ধারণ করে যে, কীভাবে উৎপাদক, পরিবেশক এবং পাইকারি সরবরাহকারীরা (“বিক্রেতা”) M/S egoods (“আমরা”, “আমাদের”, “egoods”) এর ই-কমার্স প্ল্যাটফর্মhttps://egoods.com.bd ব্যবহার করে তাদের পণ্য তালিকাভুক্ত, প্রচার এবং বিক্রয় করতে পারবেন।
egoods-এ বিক্রেতা হিসাবে নিবন্ধন এবং পণ্য তালিকাভুক্ত করার মাধ্যমে, আপনি এই শর্তাবলীতে আইনি ভাবে বাধ্য থাকার বিষয়টি স্বীকার করছেন।
১। বিক্রেতা নিবন্ধন ও যোগ্যতা
১.১ বিক্রেতাদের নিচের নথিপত্রসহ egoods.com.bd-তে নিবন্ধন প্রক্রিয়া সম্পন্ন করতে হবে:
- বৈধ ট্রেড লাইসেন্স
- ভ্যাট রেজিস্ট্রেশন সনদ (যদি প্রযোজ্য হয়)
- জাতীয় পরিচয়পত্র / পাসপোর্ট (ব্যক্তিগত বিক্রেতাদের ক্ষেত্রে)
- ব্যাংক হিসাবের বিবরণ
- প্রাসঙ্গিক পণ্যের সনদপত্র বা মান সংক্রান্ত সনদ (যদি প্রযোজ্য হয়)
১.২ egoods নিজ বিবেচনায় যেকোনো বিক্রেতা আবেদন গ্রহণ বা প্রত্যাখ্যান করার অধিকার সংরক্ষণ করে।
১.৩ বিক্রেতাদের অবশ্যই আপডেট থাকা তথ্য প্রদান করতে হবে এবং বাংলাদেশে প্রযোজ্য সকল আইন ও বিধিমালা মেনে চলতে হবে।
২। অনুমোদন ও কার্যপরিধি
২.১ বিক্রেতা egoods-কে তাদের পণ্য egoods-এর প্ল্যাটফর্মে তালিকাভুক্ত, প্রদর্শন, প্রচার ও বিক্রয়ের জন্য অনুমতি প্রদান করে।
২.২ প্রত্যেক পণ্যের স্পেসিফিকেশন, মূল্য এবং স্টক বিষয়ে উভয় পক্ষের সম্মতিতে পৃথক ‘Product Listing Appendix’ প্রস্তুত হবে।
২.৩ বিক্রেতাকে মার্কেটিং কার্যক্রমে সহায়তা করতে হবে এবং তালিকাভুক্ত পণ্যের ধারাবাহিক সরবরাহ নিশ্চিত করতে হবে।
৩। পণ্যের মান ও নিষিদ্ধ সামগ্রী
৩.১ বিক্রেতারা কেবলমাত্র আসল, বৈধ এবং মানসম্পন্ন পণ্য তালিকাভুক্ত করতে পারবেন।
৩.২ বাংলাদেশ সরকারের আইনের অধীনে নিষিদ্ধ, ভুয়া বা অনুপযুক্ত কোনো পণ্য তালিকাভুক্ত করা যাবে না।
৩.৩ পণ্যের বিবরণ, ছবি ও স্পেসিফিকেশন সঠিক এবং বিভ্রান্তিমুক্ত হতে হবে।
৩.৪ egoods মানের ব্যাপারে শূন্য সহনশীলতা নীতি (Zero Tolerance Policy) অনুসরণ করে। নিম্নমানের পণ্য সরবরাহ করলে জরিমানা, স্থগিতাদেশ বা বিক্রেতার অ্যাকাউন্ট বাতিলের ব্যবস্থা নেওয়া হতে পারে।
৪। মূল্য নির্ধারণ ও পেমেন্ট নীতিমালা
৪.১ বিক্রেতাকে স্বচ্ছ ও প্রতিযোগিতামূলক মূল্যতালিকা প্রদান করতে হবে। সকল মূল্য অবশ্যই প্রযোজ্য করসহ হতে হবে।
৪.২ নির্ধারিত বিক্রয় লক্ষ্যমাত্রা পূরণ হলে egoods বিক্রেতার নির্ধারিত ব্যাংক হিসাবে পেমেন্ট প্রদান করবে।
৪.৩ সম্মত ক্রেডিট মেয়াদের মধ্যে পেমেন্ট প্রদান করা হবে, তবে রিটার্ন বা যাচাইকরণের ভিত্তিতে তা নির্ভরশীল হবে।
৪.৪ বৈধ অজুহাত ব্যতিরেকে বিলম্বে পেমেন্ট করলে, পূর্ব নির্ধারিত হারে সুদ প্রযোজ্য হবে।
৫। স্টক, ডেলিভারি ও রিটার্ন নীতি
৫.১ বিক্রেতাকে পর্যাপ্ত স্টক বজায় রাখতে হবে এবং egoods-কে সময়মত স্টক আপডেট জানাতে হবে।
৫.২ egoods সাধারণত প্যাকেজিং ও ডেলিভারির দায়িত্ব পালন করবে, যদি না অন্য কোনো চুক্তি থাকে।
৫.৩ ক্ষতিগ্রস্ত, মেয়াদোত্তীর্ণ বা ত্রুটিপূর্ণ পণ্য নির্ধারিত সময়ের মধ্যে রিটার্নযোগ্য হবে।
৫.৪ ধীরগতির পণ্য থাকলে egoods সেগুলো পরিবর্তে চলতি পণ্য প্রদানের অনুরোধ করতে পারে।
৬। কর, আইন ও নীতিগত অনুসরণ
৬.১ বিক্রেতা নিজ নিজ কর, ভ্যাট, শুল্ক এবং ভোক্তা সুরক্ষা আইনসহ বাংলাদেশের প্রযোজ্য সকল আইনের অধীন বাধ্য থাকবে।
৬.২ পণ্য অবশ্যই BSTI (বাংলাদেশ স্ট্যান্ডার্ডস এন্ড টেস্টিং ইন্সটিটিউশন) অনুমোদিত এবং অন্যান্য প্রাসঙ্গিক আইন মেনে চলা বাধ্যতামূলক।
৭। বুদ্ধিবৃত্তিক সম্পদ ও মার্কেটিং অধিকার
৭.১ বিক্রেতা egoods-কে তাদের ব্র্যান্ড, লোগো, ছবি ও প্রচারণা উপকরণ ব্যবহার করার রয়্যালটি-মুক্ত ও অ-একচেটিয়া লাইসেন্স প্রদান করবে।
৭.২ egoods বিভিন্ন অনলাইন মার্কেটিং কৌশল (যেমন: সোশ্যাল মিডিয়া, ব্যানার বিজ্ঞাপন, ইমেইল মার্কেটিং) ব্যবহার করে পণ্য প্রচার করতে পারে।
৭.৩ কোনো ধরনের অননুমোদিত কপিরাইট বা ট্রেডমার্ক লঙ্ঘন করলে egoods চুক্তি বাতিল করতে পারবে।
৮। গোপনীয়তা
৮.১ egoods এবং বিক্রেতার মধ্যে আদানপ্রদানকৃত সকল বাণিজ্যিক, প্রযুক্তিগত ও গ্রাহক সংক্রান্ত তথ্য গোপনীয় থাকবে।
৮.২ গোপন তথ্যের অবৈধ ব্যবহার বা ফাঁস হলে, egoods আইনি পদক্ষেপ গ্রহণ করতে পারে।
৯। বাতিল ও ফোর্স মজর (Force Majeure)
৯.১ কোনো পক্ষ ৩০ (ত্রিশ) দিনের লিখিত নোটিশ দিয়ে বিক্রেতা সম্পর্ক বাতিল করতে পারবে।
৯.২ egoods নিম্নোক্ত কারণে তাৎক্ষণিকভাবে বিক্রেতার কার্যক্রম বাতিল করতে পারে:
- চুক্তি লঙ্ঘন
- নিম্নমানের পণ্য সরবরাহ
- অবৈধ বা প্রতারণামূলক কার্যক্রম
- ব্র্যান্ডের সুনাম ক্ষুণ্ন হওয়ার আশঙ্কা
৯.৩ প্রাকৃতিক দুর্যোগ, যুদ্ধ, সাইবার হামলা, সরকারী নিষেধাজ্ঞা, বা ধর্মঘটকে Force Majeure ধরা হবে।
১০। বিতর্ক নিষ্পত্তি
১০.১ যে কোনো বিরোধ ২১ কার্যদিবসের মধ্যে পারস্পরিক আলোচনার মাধ্যমে নিষ্পত্তির চেষ্টা করতে হবে।
১০.২ আলোচনায় সমাধান না হলে, বাংলাদেশের সালিশ আইন, ২০০১ (Arbitration Act, 2001) অনুযায়ী, ঢাকায় সালিশি কার্যক্রম অনুষ্ঠিত হবে।
১০.৩ সালিশ বোর্ডে তিনজন সালিশক থাকবে — একজন প্রত্যেক পক্ষ মনোনীত করবে এবং একজন যৌথভাবে মনোনীত হবে। সালিশি সিদ্ধান্ত চূড়ান্ত ও বাধ্যতামূলক হবে।
১১। বিধি ও শর্তাবলী পরিবর্তন
egoods সময় সময় এই শর্তাবলী আপডেট করতে পারে। পরিবর্তিত শর্তাবলী ওয়েবসাইটে প্রকাশের পরই কার্যকর হবে। প্ল্যাটফর্ম ব্যবহার চালিয়ে গেলে, আপনি সংশোধিত শর্তাবলী মেনে নিচ্ছেন বলে গণ্য হবে।

These Terms and Conditions (“Terms”) set forth the governing provisions under which manufacturers, distributors, and wholesale suppliers (“Vendor(s)”) may engage with M/S egoods (“egoods”, “we”, “us”, or “our”) for the listing, marketing, and sale of their products through our online platform, https://egoods.com.bd.
By registering as a Vendor and offering products through egoods, you agree to be legally bound by these Terms.
1. Vendor Registration & Eligibility
1.1 Vendors must complete a formal registration process and submit:
- Valid Trade License
- VAT Registration Certificate (if applicable)
- NID/Passport (for individual sellers)
- Bank Account Details
- Product Certifications/Compliance (where applicable)
1.2 All vendor applications are subject to review and approval. egoods reserves the exclusive right to accept, reject, or revoke vendor status at its sole discretion.
1.3 Vendors must keep all registration data up to date and comply with all applicable legal, regulatory, and tax obligations of Bangladesh.
2. Authorization & Engagement Scope
2.1 Vendors authorize egoods to list, display, promote, and sell their products through its e-commerce platform.
2.2 Product listings, specifications, pricing, and inventory levels shall be mutually agreed upon and documented under separate Product Listing Appendices.
2.3 Vendors agree to cooperate in marketing campaigns and ensure continuous supply and support for listed products.
3. Product Standards and Prohibited Items
3.1 Vendors must only list genuine, lawful, and quality-compliant products.
3.2 Prohibited items include counterfeit goods, banned products under Bangladeshi law, or any item deemed inappropriate by egoods.
3.3 Vendors must ensure product descriptions, images, and specifications are accurate and not misleading.
3.4 egoods enforces a Zero-Tolerance Policy toward substandard or non-compliant products. Repeated quality violations may result in penalties or termination.
4. Pricing and Payments
4.1 Vendors must provide a transparent and competitive price list. All pricing must be inclusive of any applicable taxes.
4.2 Payment to Vendors shall be made via Bank Transfer or Account Payee Cheque after reaching the agreed sales threshold.
4.3 egoods shall remit payments within the credit terms mutually agreed upon, subject to verification and returns (if applicable).
4.4 Late payments, if any, shall incur interest at the rate specified in the agreement, unless disputed in good faith.
5. Inventory, Fulfillment & Returns
5.1 Vendors are responsible for ensuring the availability and timely replenishment of stock.
5.2 egoods handles customer fulfillment and delivery, unless a separate logistics arrangement is made.
5.3 Defective or expired products may be returned to the Vendor within a specified return window.
5.4 For slow-moving inventory, egoods reserves the right to request product exchanges subject to mutual consent.
6. Tax, Legal, and Regulatory Compliance
6.1 Vendors are solely responsible for compliance with all applicable Bangladeshi laws including tax, VAT, customs, product labeling, and consumer protection regulations.
6.2 Products listed must comply with standards set by relevant authorities, including the Bangladesh Standards and Testing Institution (BSTI).
7. Intellectual Property & Marketing Rights
7.1 Vendors grant egoods a non-exclusive, royalty-free license to use their brand name, product images, logos, and marketing content for promotional and sales purposes.
7.2 Vendors shall not list or promote products that infringe on third-party intellectual property rights.
7.3 egoods may initiate digital marketing campaigns (including but not limited to social media and banner ads) to promote vendor products.
8. Confidentiality
8.1 All commercial, technical, and customer-related information exchanged between egoods and the Vendor shall be treated as confidential and used solely for business purposes.
8.2 Unauthorized disclosure or misuse of confidential information may result in legal action and immediate termination of vendor access.
9. Termination
9.1 Either party may terminate the vendor relationship with 30 days’ prior written notice.
9.2 egoods may immediately suspend or terminate a Vendor for:
- Breach of contract
- Product safety concerns
- Non-compliance with law
- Reputational harm
- Fraudulent activities
10. Force Majeure
Neither party shall be held liable for failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, cyber-attacks, natural disasters, government actions, or labor unrest.
11. Dispute Resolution
11.1 Parties shall attempt to resolve any disputes amicably within 21 working days.
11.2 If unresolved, disputes shall be submitted to arbitration under the Arbitration Act, 2001, conducted in Dhaka, in English, by a tribunal of three arbitrators.
11.3 Arbitration decisions shall be binding on both Parties.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh.
13. General Provisions
- Vendors may not assign their rights without prior written consent from egoods.
- egoods reserves the right to update or amend these Terms at any time. Continued use of the platform constitutes acceptance of such amendments.
- If any provision is found unenforceable, the remainder shall remain in full force and effect.
